1. Definitions
In these Terms and Conditions, the following terms have the meanings set out below:
- "Agreement" means these Terms and Conditions together with any engagement letter or scope of work document agreed with you.
- "Meranti Legal" / "we" / "us" / "our" refers to the corporate formation practice operating under that name, with offices at 61 Robinson Road, #14-02, Singapore 068893.
- "Client" / "you" / "your" refers to the individual or entity engaging our services or using this website.
- "Services" refers to company incorporation assistance, business structure advisory, corporate governance and compliance review, and any related professional services provided by Meranti Legal.
- "Website" refers to the website accessible at https://merantilegaloe and all pages and content within it.
- "Content" refers to all text, documents, forms, articles, and other material published on the Website.
2. Acceptance of Terms
By using this Website or engaging Meranti Legal for professional services, you confirm that you:
- Are at least 18 years of age and have the legal capacity to enter into a binding agreement;
- Have read, understood, and agreed to these Terms and Conditions; and
- Where acting on behalf of a company or organisation, have the authority to bind that entity to these terms.
If you do not agree with any part of these terms, you should not use this Website or engage our services.
3. Description of Services
Meranti Legal offers professional services in Singapore relating to corporate formation and governance. Our current service categories include:
- Company Incorporation Assistance (ML–01): Support with company name reservation, preparation of constitutional documents, director and company secretary appointments, and submission to ACRA. Priced at SGD 480 per engagement.
- Business Structure Advisory (ML–02): Consultative sessions comparing entity types, covering tax implications, liability, and fundraising considerations, with written recommendations. Priced at SGD 350 per engagement.
- Corporate Governance & Compliance Review (ML–03): A detailed review of board resolutions, shareholder agreements, ACRA filing history, and director obligations, resulting in a compliance gap report and action plan. Priced at SGD 1,380 per engagement.
Services are available to clients in Singapore and international clients engaging Meranti Legal for Singapore-related corporate matters. Availability is subject to capacity and acceptance of an engagement letter.
4. User Responsibilities
When using this Website or engaging our services, you agree to:
- Provide accurate, complete, and up-to-date information when requested;
- Not use this Website for any unlawful purpose or in a way that could harm Meranti Legal, its clients, or third parties;
- Not attempt to gain unauthorised access to any part of the Website or its systems;

5. Intellectual Property

Documents prepared for you during a professional engagement (such as constitutional documents or compliance gap reports) become your property upon full settlement of the applicable fees. Standard form documents and templates remain the property of Meranti Legal and are licensed to you for the specific purpose stated in the engagement letter only.
6. Fees and Payment
All service fees are stated in Singapore Dollars (SGD) and are exclusive of applicable government filing fees (such as ACRA incorporation fees), which will be itemised separately in the engagement letter.
Fees are payable in accordance with the payment schedule set out in the engagement letter. Meranti Legal reserves the right to pause work on an engagement if invoices remain outstanding beyond the agreed payment period.
Fees paid for advisory sessions (ML–02) are generally non-refundable once the session has been conducted. For incorporation and compliance engagements (ML–01 and ML–03), refund terms are set out in the relevant engagement letter, taking into account work already completed at the time of any cancellation request.

8. Limitation of Liability
To the extent permitted by Singapore law:
- Meranti Legal's aggregate liability to you in respect of any single engagement shall not exceed the fees paid by you for that specific engagement.
- We shall not be liable for indirect, consequential, special, or incidental losses, including loss of profit, loss of business opportunity, or loss of anticipated savings, even if we were advised of the possibility of such losses.
- We are not liable for delays or failures in service delivery caused by circumstances outside our reasonable control, including changes to ACRA processing times, system outages, or regulatory changes affecting the service.
Nothing in these terms limits liability that cannot be excluded by law, including liability for fraud or wilful misconduct.
9. Indemnification
You agree to indemnify and hold harmless Meranti Legal, its team members, and associated advisers from any claims, losses, or expenses (including reasonable legal costs) arising from your breach of these Terms, your misuse of the Website, or the provision of inaccurate or misleading information that results in loss or liability to us or third parties.
10. Termination of Engagement
Either party may terminate a professional engagement by providing written notice to the other. Where Meranti Legal terminates an engagement, we will provide reasonable notice unless termination is necessitated by conduct that breaches these terms or applicable law. Fees for work completed up to the date of termination remain payable.
Meranti Legal reserves the right to decline any enquiry or engagement at its discretion without providing reasons.
11. Dispute Resolution
In the event of a dispute arising from or relating to these Terms or a professional engagement, the parties agree to first attempt resolution through good-faith discussion. If a dispute cannot be resolved informally within 30 days, either party may refer the matter to mediation administered by the Singapore Mediation Centre before initiating formal proceedings.
These Terms are governed by and construed in accordance with the laws of Singapore. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Singapore.
12. General Provisions
Entire Agreement
These Terms, together with any engagement letter, constitute the entire agreement between you and Meranti Legal with respect to the matters covered herein and supersede all prior representations, discussions, or agreements.
Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.
Waiver
Failure by Meranti Legal to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment
You may not assign your rights or obligations under these Terms without our prior written consent. Meranti Legal may transfer its rights and obligations to a successor entity in the event of a business reorganisation, without affecting the rights of existing clients.
13. Changes to These Terms
We may update these Terms and Conditions periodically to reflect changes in our services, practices, or applicable law. The updated terms will be published on this page with a revised "Last Updated" date. Continued use of the Website or engagement of our services after the effective date of revised terms constitutes acceptance of those terms.
