Documents prepared for you during a professional engagement (such as constitutional documents or compliance gap reports) become your property upon full settlement of the applicable fees. Standard form documents and templates remain the property of Meranti Legal and are licensed to you for the specific purpose stated in the engagement letter only.

6. Fees and Payment

All service fees are stated in Singapore Dollars (SGD) and are exclusive of applicable government filing fees (such as ACRA incorporation fees), which will be itemised separately in the engagement letter.

Fees are payable in accordance with the payment schedule set out in the engagement letter. Meranti Legal reserves the right to pause work on an engagement if invoices remain outstanding beyond the agreed payment period.

Fees paid for advisory sessions (ML–02) are generally non-refundable once the session has been conducted. For incorporation and compliance engagements (ML–01 and ML–03), refund terms are set out in the relevant engagement letter, taking into account work already completed at the time of any cancellation request.

10. Termination of Engagement

Either party may terminate a professional engagement by providing written notice to the other. Where Meranti Legal terminates an engagement, we will provide reasonable notice unless termination is necessitated by conduct that breaches these terms or applicable law. Fees for work completed up to the date of termination remain payable.

Meranti Legal reserves the right to decline any enquiry or engagement at its discretion without providing reasons.

11. Dispute Resolution

In the event of a dispute arising from or relating to these Terms or a professional engagement, the parties agree to first attempt resolution through good-faith discussion. If a dispute cannot be resolved informally within 30 days, either party may refer the matter to mediation administered by the Singapore Mediation Centre before initiating formal proceedings.

These Terms are governed by and construed in accordance with the laws of Singapore. Each party irrevocably submits to the non-exclusive jurisdiction of the courts of Singapore.

Entire Agreement

These Terms, together with any engagement letter, constitute the entire agreement between you and Meranti Legal with respect to the matters covered herein and supersede all prior representations, discussions, or agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

Waiver

Failure by Meranti Legal to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

Assignment

You may not assign your rights or obligations under these Terms without our prior written consent. Meranti Legal may transfer its rights and obligations to a successor entity in the event of a business reorganisation, without affecting the rights of existing clients.

13. Changes to These Terms

We may update these Terms and Conditions periodically to reflect changes in our services, practices, or applicable law. The updated terms will be published on this page with a revised "Last Updated" date. Continued use of the Website or engagement of our services after the effective date of revised terms constitutes acceptance of those terms.
