A Considered Practice, Built for Singapore's Business Environment

Meranti Legal was established to serve founders and investors who need clarity and structure when entering the Singapore market — without the opacity that can come with more transactional services.

Rooted in Singapore, Oriented Toward Its Future

Meranti Legal was founded in 2009 by practitioners with backgrounds in corporate secretarial work and Singapore company law. The firm's name draws from the meranti tree — a hardwood native to Southeast Asia, valued for its strength, consistency, and longevity. These are qualities we believe a legal practice should also hold.

From the outset, the focus has been narrow and deliberate: corporate formation, entity structure advisory, and governance compliance. This concentration means our team works on the same categories of matters every day, maintaining deep familiarity with ACRA's procedures, the requirements of the Companies Act, and the practical considerations that affect founders and corporate clients at each stage of their business life.

Over fifteen years, the practice has assisted more than 450 companies through incorporation, entity selection, and compliance review. Our clients include sole founders registering their first company, overseas investors establishing Singapore subsidiaries, and established businesses undertaking governance restructuring.

What We Stand For

Clarity Over Complexity

Corporate processes can be made needlessly opaque. We present each step clearly so clients understand what is happening, why it is required, and what comes next.

Precision in Every Engagement

We treat each matter — whether a straightforward incorporation or a detailed governance review — with the same level of care and attention. There are no routine matters when the structure you put in place affects your business for years.

Transparent Fees

Our pricing is stated clearly before any engagement begins. Clients receive an itemised breakdown covering professional fees and any government filing charges — no additions appear midway through.

Support Across Backgrounds

A significant portion of our clients are regional entrepreneurs and foreign investors for whom Singapore is a new jurisdiction. We are accustomed to explaining Singapore-specific requirements in context, without assuming prior familiarity.

Quality Standards & Practice Protocols

These are the commitments we make at the operational level — the practices that determine how each engagement is handled, not merely how it is described.

ACRA Registered Filing Agent

Meranti Legal is a registered filing agent with the Accounting and Corporate Regulatory Authority, authorised to submit incorporation and annual filing documents on behalf of clients.

Client Document Security

All client documents are handled under strict confidentiality protocols. Identification documents, shareholder agreements, and constitutional documents are stored securely and shared only where required by law.

Two-Stage Review Process

Every set of documents prepared by our team undergoes a two-stage internal review before submission — first by the handling officer, then by a senior practitioner — to reduce the scope for error.

Companies Act Compliance

Our team maintains current working knowledge of the Singapore Companies Act and ACRA circulars, updating internal procedures whenever regulatory changes are issued by the relevant authorities.

Personal Data Protection

Client personal data is collected and processed in accordance with Singapore's Personal Data Protection Act (PDPA). We do not share client information with third parties outside the scope of the specific engagement.

Written Engagement Letters

Each engagement begins with a written letter confirming scope, deliverables, fees, and the expected timeline. This ensures both parties have a clear, shared understanding before work commences.

Corporate Formation in Singapore — A Deliberate Practice

Singapore maintains one of the most structured and transparent corporate registration frameworks in the Asia-Pacific region. The Accounting and Corporate Regulatory Authority administers company formation under the Companies Act, which sets clear requirements for directorship, share capital, constitutional documents, and ongoing filing obligations.

For founders approaching this process without prior experience in Singapore, the framework can appear complex. Meranti Legal's role is to interpret these requirements accurately and manage the procedural elements with care — from initial name checks through to the issuance of the company's unique entity number and the preparation of its first statutory registers.

Our work with business structure advisory clients reflects a similar approach: the choice of entity type carries implications for personal liability, tax treatment, and the ability to bring in investors at a later stage. A well-informed choice at the outset supports the business over time; a poorly considered one creates friction that is costly to unwind.

For companies that have been in operation for some time, the governance review engagement addresses the accumulated compliance obligations that can go unexamined during periods of rapid growth. Director disclosures, shareholder resolutions, and annual return filings are not merely administrative formalities — they form part of the evidentiary record of how a company has been managed, and gaps in this record can become consequential when the company faces a transaction, dispute, or regulatory inquiry.
